Terms of Service

Mingchen Packaging provides custom packaging manufacturing services including but not limited to:

• Flexible packaging (PE bags, pouches, roll film)
• Paper packaging (kraft bags, boxes, greaseproof paper)
• Disposable packaging (cups, bowls, takeaway containers)
• Custom packaging design and development
• OEM and ODM manufacturing services

Services are provided on a business-to-business (B2B) basis to qualified commercial customers.

2.1 Quotations: All quotations provided are valid for 30 days unless otherwise specified. Prices are subject to confirmation based on final specifications, quantities, and material costs at the time of order.

2.2 Order Confirmation: Orders become binding upon our written confirmation and receipt of required deposit payment.

2.3 Minimum Order Quantities: MOQ requirements vary by product type and will be specified in quotations. Custom orders may have higher MOQ requirements.

2.4 Specifications: Customers are responsible for providing accurate specifications, artwork, and technical requirements. Changes after production begins may incur additional costs.

3.1 Standard Terms: Payment terms are typically 30-50% deposit before production and balance before shipment, unless alternative terms are agreed in writing.

3.2 Payment Methods: We accept wire transfer (T/T), Letter of Credit (L/C), and other internationally recognized payment methods.

3.3 Currency: Prices are quoted in USD or RMB. Currency exchange rates are based on the rate at the time of payment.

3.4 Late Payment: Orders may be held for late payment. Interest charges may apply to overdue amounts.

4.1 Production Timeline: Standard production time is 15-30 days after deposit receipt and final artwork approval. Custom orders may require additional time.

4.2 Delivery Terms: Delivery terms (FOB, CIF, etc.) will be specified in the order confirmation. Risk transfers according to agreed Incoterms.

4.3 Delays: We will make reasonable efforts to meet delivery dates. We are not liable for delays caused by force majeure, material shortages, or customer-caused delays.

4.4 Shipping: Shipping costs and arrangements are customer's responsibility unless otherwise agreed. We can assist with logistics coordination.

5.1 Standards: Products are manufactured according to agreed specifications and industry standards.

5.2 Inspection: We conduct internal quality control inspections. Third-party inspection can be arranged at customer's request and expense.

5.3 Sample Approval: Production samples require customer approval before mass production begins. Approved samples become the quality reference standard.

5.4 Tolerance: Standard industry tolerances apply unless otherwise specified: ±5% on quantities, ±2mm on dimensions, and color variations within acceptable Delta E standards.

6.1 Defect Claims: Claims for defective products must be reported within 7 days of receipt with photographic evidence and detailed description.

6.2 Warranty: We warrant that products will conform to approved specifications. This warranty does not cover damage from improper use, storage, or handling.

6.3 Remedies: For valid defect claims, we will, at our discretion, replace defective products or provide credit for future orders.

6.4 Limitation: Our liability is limited to the purchase price of the defective products. We are not liable for consequential or indirect damages.

7.1 Customer IP: Customers retain ownership of their trademarks, logos, and designs provided to us.

7.2 License: By providing designs and artwork, customers grant us a license to use them solely for manufacturing their orders.

7.3 Confidentiality: We treat customer designs, specifications, and business information as confidential and will not disclose to third parties.

7.4 Responsibility: Customers warrant that they own or have rights to all IP provided and indemnify us against any IP infringement claims.

Our total liability for any claim arising from or related to these terms or any order shall not exceed the total amount paid by the customer for the specific order giving rise to the claim.

We are not liable for indirect, incidental, consequential, or special damages including lost profits, business interruption, or loss of data.

These limitations apply to the fullest extent permitted by applicable law.

9.1 Governing Law: These terms are governed by the laws of the People's Republic of China.

9.2 Dispute Resolution: Parties will first attempt to resolve disputes through good faith negotiation.

9.3 Arbitration: If negotiation fails, disputes shall be resolved through arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).

9.4 Language: The English version of these terms shall prevail in case of any discrepancy with translations.

10.1 Modifications: We reserve the right to update these terms. Customers will be notified of material changes. Continued use of our services constitutes acceptance of modified terms.

10.2 Severability: If any provision is found invalid, remaining provisions remain in full effect.

10.3 Waiver: Failure to enforce any right does not constitute a waiver of that right.

10.4 Entire Agreement: These terms, together with order confirmations and quotations, constitute the entire agreement between parties.

10.5 Assignment: Customers may not assign their rights or obligations without our written consent.
